Covalent Clinical Research is a clinical research company and research site network focused on supporting the conduct of clinical research and expanding access to clinical research opportunities, particularly within communities that may have historically had limited access to clinical research.
The Website is intended to provide general information about Covalent Clinical Research, its clinical research activities, services, educational resources, partnerships, clinical trial opportunities, and ways to contact Covalent Clinical Research or express interest in clinical research.

Where a separate written agreement applies, that agreement will govern the confidential or protected information covered by that agreement.
Covalent Clinical Research’s Confidentiality & Data Privacy Agreement recognizes that Confidential Information may include proprietary information, clinical protocols, patient and subject information, PHI, case report forms, regulatory filings, research and development information, clinical and preclinical data, intellectual property, trade secrets, technical information, business information, financial information, marketing plans, and information designated or reasonably understood to be confidential or proprietary.
Covalent Clinical Research will take reasonable measures to protect confidential information entrusted to it and will comply with applicable contractual, legal, regulatory, and privacy obligations.
9. HIPAA And Protected Health Information (PHI)
Covalent Clinical Research recognizes that certain information associated with healthcare and clinical research activities may constitute Protected Health Information under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and its implementing regulations.
PHI will be handled in accordance with applicable HIPAA requirements and other applicable privacy and data-protection requirements.
Where required, access to, use, disclosure, or transfer of PHI will be subject to appropriate authorization, informed consent, IRB or Privacy Board approval, waiver, agreement, or other lawful basis.
Nothing in these Terms authorizes a Website user to submit, access, use, or disclose PHI through the Website except as expressly permitted through an appropriate Covalent Clinical Research process.
10. Applicable Laws and Regulations
Covalent Clinical Research conducts clinical research activities in accordance with applicable requirements, which may include applicable U.S. Food and Drug Administration (“FDA”) requirements, HIPAA and applicable privacy requirements, IRB requirements, ICH Good Clinical Practice requirements, federal and state laws and regulations, applicable study protocols, sponsor and CRO requirements, and Covalent Clinical Research policies and standard operating procedures.
Nothing in these Terms is intended to create obligations beyond those imposed by applicable law or a separate written agreement.
11. Intellectual Property
Unless otherwise expressly stated, the Website and its contents are owned by or licensed to Covalent Clinical Research and are protected by applicable intellectual property laws.
Covalent Clinical Research’s intellectual property includes, without limitation, its name, trademarks, logos, Website design, text, graphics, photographs, videos, educational materials, documents, downloadable resources, original content, Website functionality, and other proprietary materials.
Subject to these Terms, Covalent Clinical Research grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Website and its content for personal, informational, or legitimate internal business purposes.

15. Third‑Party Platforms and Training Systems
Covalent Clinical Research may provide access to third‑party platforms, including training systems such as Skilltriks, for investigators, research staff, and affiliated personnel. These platforms operate independently from Covalent Clinical Research and maintain their own Terms of Use, Privacy Policies, and security practices. By accessing Skilltriks through our website, you acknowledge that Covalent Clinical Research is not responsible for the content, functionality, availability, or data handling practices of external systems. Your use of Skilltriks is governed solely by the policies established by the platform provider.
Covalent Clinical Research may share limited information with Skilltriks for the purpose of creating user accounts, verifying training completion, and supporting investigator onboarding. You agree that Covalent Clinical Research is not liable for any disruptions, data issues, or operational limitations associated with Skilltriks or other external platforms.
16. Website Availability and Security
Covalent Clinical Research will use reasonable efforts to maintain the availability and security of the Website; however, Covalent Clinical Research does not guarantee that the Website will always be available, uninterrupted, secure, or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COVALENT CLINICAL RESEARCH, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE.
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, OR OTHER ECONOMIC LOSS.

19. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Covalent Clinical Research, LLC, its affiliates, officers, directors, employees, contractors, agents, representatives, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms, your unlawful or unauthorized use of the Website, content you submit through the Website, your infringement of another person’s intellectual property, privacy, or other rights, or your violation of applicable laws or regulations.
This provision does not apply to the extent a claim results from Covalent Clinical Research’s own gross negligence, willful misconduct, or other conduct for which liability cannot legally be waived or indemnified.
20. Confidentiality and Security Incidents
Each party receiving Confidential Information is expected to use reasonable measures to protect such information from unauthorized access, use, disclosure, alteration, or loss.
Under Covalent Clinical Research’s Confidentiality & Data Privacy Agreement, a party must promptly notify the other party of unauthorized use or disclosure of Confidential Information.
Nothing in these Terms prevents Covalent Clinical Research from complying with legal, regulatory, governmental, law-enforcement, IRB, audit, safety-reporting, or other applicable obligations.
21. No Waiver
Covalent Clinical Research’s failure to enforce any provision of these Terms does not constitute a waiver of that provision or Covalent Clinical Research’s right to enforce that provision in the future.
21. Severability
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, if permitted by law.
The remaining provisions will continue in full force and effect.
23. Governing Law and Venue
These Terms will be governed by and interpreted in accordance with the laws of the State of Mississippi, without regard to conflict-of-law principles that would require application of the law of another jurisdiction.
To the extent permitted by applicable law, disputes arising from these Terms or your use of the Website shall be brought in a court of competent jurisdiction located in Mississippi.
24. Entire Agreement
These Terms, together with Covalent Clinical Research’s Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing your general use of the Website.
These Terms do not replace or supersede any separate written agreement between Covalent Clinical Research and another party, including a confidentiality agreement, clinical trial agreement, Business Associate Agreement, data-use agreement, informed consent document, sponsor agreement, CRO agreement, or other contractual arrangement.
Where a separate written agreement contains provisions that specifically govern the subject matter addressed by that agreement, the applicable written agreement will control to the extent of any conflict.

Covalent Clinical Research may update these Terms from time to time to reflect changes in the Website, Covalent Clinical Research’s business operations, applicable laws, regulatory requirements, security practices, or other circumstances.
